The fund finances option exercises.

Investors hold interests in a CapU access series, which holds a limited partner (LP) interest in the underlying Fuel fund, managed by its general partner (GP). The underlying Fuel fund invests through financing series managed by EquityBee, which enter contracts with employees to finance stock-option exercises. Employees hold the resulting shares; the financing contracts set rights to future proceeds.

Structural Protection

Repaid ahead of employee

Contractual repayment priority ahead of the employee, subject to contract terms and available proceeds.

The fund term is five years, with an option for two additional one-year extensions, subject to the definitive offering documents. No liquidity event or distribution date is assured. Discounts may narrow or disappear and do not protect against principal loss. Investments are speculative, illiquid, and may result in loss of some or all invested capital.

Fund fact qualifications

The ≤10% per-company figure is a hard ceiling on capital deployed at cost, not a typical position size. The 88% late-stage / pre-EXIT figure is an internal target estimate, not a binding allocation; actual portfolio composition may differ materially.

The ~50–70% target compares the Fund’s effective entry price with the company’s most recent secondary or preferred share price. It is not an investment return or the Fund’s performance record. The 30–40% target compares entry price with the latest available 409A common-stock valuation. These measures are not directly comparable. Discounts do not protect against principal loss.

Interests are offered pursuant to Rule 506(c) only to accredited investors, and the issuer must take reasonable steps to verify each purchaser’s accredited investor status.

  • Capital is at risk.

Company failure, valuation declines and counterparty risk can cause partial or total loss of invested capital. Contractual priority does not guarantee repayment.

  • Liquidity is uncertain.

Repayment requires a liquidity event and sufficient available proceeds. No exit, distribution date or resale market is guaranteed.

  • Targets are not promises.

Portfolio size, deployment pacing, stage allocation, discounts and timing are objectives. Actual results can differ materially. Diversification does not prevent loss.
